Terms of Service

CPM One Source, Inc. ("CPM One Source," "we," "us," or "our") provides storage, logistics, and project management services.

These Terms of Service ("Terms") govern your use of our websites, client portal, systems, and text message program (together, the "Services"). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf and confirm you have authority to do so.

Relationship to Client Agreements

Storage, logistics, and project management services are provided under a separate signed agreement with each client, such as a Master Services Agreement. If these Terms conflict with a signed agreement, the signed agreement controls. These Terms do not modify any signed agreement.

Use of Our Websites

You may use our websites for lawful purposes related to learning about and engaging with our services. You may not copy, modify, distribute, or create derivative works from website content without our written permission, except as allowed by law.

Client Portal

Accounts

Access to the client portal is limited to authorized users designated by a client. You are responsible for:

  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Notifying us promptly at legal@cpmonesource.com of any unauthorized access.

Client Data

Clients retain ownership of the data they and their authorized users submit to the portal ("Client Data"). We process Client Data only to provide the Services and as described in the client's signed agreement and our Data Processing Addendum.

Availability

We work to keep the portal available but do not guarantee uninterrupted or error-free access. We may perform maintenance, updates, or changes to the portal at any time.

Suspension

We may suspend or restrict access to the portal if we reasonably believe an account has been compromised, these Terms have been violated, or suspension is required to protect the Services or other users.

Acceptable Use

You may not:

  1. Use the Services in violation of any law or regulation.
  2. Access or attempt to access accounts, systems, or data you are not authorized to access.
  3. Probe, scan, or test the vulnerability of the Services, except as permitted in our Security Overview.
  4. Interfere with or disrupt the Services, including through malware, excessive requests, or denial-of-service attacks.
  5. Scrape, harvest, or collect data from the Services by automated means without our written permission.
  6. Reverse engineer, decompile, or attempt to derive the source code of the Services.
  7. Upload content that is unlawful, infringing, or that you do not have the right to share.
  8. Share your credentials or allow unauthorized persons to access the portal.
  9. Use the Services to send spam or unsolicited communications.

Text Message Program

Program Description

If you opt in, CPM One Source sends text messages about service updates, delivery scheduling, and project notifications.

Program Terms

  • Message frequency: varies.
  • Cost: message and data rates may apply.
  • Opt out: reply STOP at any time.
  • Help: reply HELP, or email legal@cpmonesource.com.
  • Consent: consent to receive text messages is not a condition of purchase.
  • Carriers: carriers are not liable for delayed or undelivered messages.

Intellectual Property

The Services, including all content, software, logos, and trademarks, are owned by CPM One Source or its licensors and are protected by law. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as permitted here.

Third-Party Links and Services

The Services may link to or integrate with third-party websites and services. We are not responsible for their content, policies, or practices.

Disclaimers

Except as stated in a signed agreement, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, and except as stated in a signed agreement, CPM One Source will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services. Our total liability under these Terms will not exceed one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify and hold harmless CPM One Source from claims, losses, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of the Services.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. Sections that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Disputes will be resolved exclusively in the state or federal courts located in Los Angeles County, California.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new effective date. Continued use of the Services after changes take effect means you accept the updated Terms.
